Vantiva Acquires CommScope’s Home Networks Division, Boosting Business Scale and Synergies

French technology company Vantiva has announced its agreement to acquire the Home Networks division of U.S. network infrastructure provider CommScope. In exchange for the division, CommScope will receive a 25% stake in Vantiva. The deal also includes a potential earnout of up to $100 million in cash for CommScope, contingent on Vantiva achieving a specific EBITDA target over the next five years.

The acquisition of CommScope’s Home Networks division is expected to significantly increase the scale of Vantiva’s business. This move will generate synergies that will strengthen the company’s free cash flow generation potential. Vantiva’s CEO, Luis Martinez-Amago, expressed his enthusiasm for the deal, highlighting the positive impact it will have on the company’s growth.

The transaction is projected to yield over 100 million euros in pre-tax cash synergies by fiscal year 2026. The closing of the deal is scheduled for the end of 2023. Home Networks specializes in providing devices that connect homes to the internet and video set-top boxes.

Vantiva, formerly known as Technicolor, is an independent company that designs and develops products and solutions to connect consumers worldwide.
